1. Introduction
1.1. These Terms and Conditions ("Terms") govern your access to and use of the MNH Expert platform ("Platform"), operated by MNH Planning Administration Pty Ltd ("MNH", "we", "us", "our").
1.2. By accessing or using the Platform, you ("User", "you", "your") agree to be bound by these Terms. If you do not agree to these Terms, you must not access or use the Platform.
1.3. MNH reserves the right to update these Terms at any time. We will notify Users of material changes via email or in-platform notification. Continued use of the Platform after notification constitutes acceptance of the updated Terms.
2. Service Description
2.1. MNH Expert is a cloud-based Software-as-a-Service (SaaS) platform designed for Australian financial planning professionals. The Platform provides:
- (a) Customer relationship management (CRM) tools for financial planning businesses;
- (b) AI-powered paraplanning tools, including Statement of Advice (SOA) generation and client engagement widgets;
- (c) A research data warehouse offering fund comparison, fee analysis, and scoring;
- (d) Data Ocean, providing scraped and aggregated financial data from sources including APRA, ATO, RBA, and Centrelink;
- (e) Email and calendar synchronisation with Gmail and Microsoft 365;
- (f) File extraction and document processing capabilities;
- (g) Data-as-a-Service (DaaS) API for licensed consumers of fund data; and
- (h) MaxWork integration for cross-platform data sharing.
2.2. The Platform is accessed via web browser. No software installation is required.
2.3. The Platform is offered on a subscription basis across tiered plans: Free, Standard, and Professional. The features available to you depend on your subscription tier, as described on our pricing page.
3. Eligibility
3.1. The Platform is intended for use by Australian financial planning professionals, their authorised representatives, and their staff members.
3.2. You must be at least 18 years of age to use the Platform.
3.3. By creating an account, you represent and warrant that:
- (a) you are at least 18 years of age;
- (b) you are a financial planning professional, an authorised representative of a financial planning business, or a staff member acting under the authority of such a professional; and
- (c) you have the legal capacity and authority to enter into these Terms.
4. Australian Financial Services Licence Disclaimer
4.1. MNH Planning Administration Pty Ltd does not hold an Australian Financial Services Licence (AFSL) and is not an authorised representative of any AFSL holder.
4.2. MNH does not provide financial advice, financial product advice, or personal advice of any kind. Nothing on the Platform constitutes, or should be construed as, financial advice.
4.3. All content generated by the Platform's AI tools, including but not limited to draft Statements of Advice, research outputs, fund comparisons, fee analyses, and scoring models, is draft material only. Such content is provided to assist licensed financial advisers in the preparation of advice documents and must not be used as finalised advice.
4.4. The financial planner or AFSL holder bears full and sole responsibility for:
- (a) reviewing, verifying, and approving all AI-generated content before it is provided to any client;
- (b) ensuring all advice documents comply with the Corporations Act 2001 (Cth), the relevant AFSL conditions, and any applicable regulatory requirements;
- (c) the accuracy, completeness, and appropriateness of all advice given to clients; and
- (d) compliance with their AFSL obligations and the obligations of their authorised representatives.
4.5. Fund data, scoring, comparisons, and other research information provided through the Platform are for informational purposes only. They do not constitute investment recommendations, product recommendations, or personal advice.
5. Account Registration and Security
5.1. To access the Platform, you must create an account and provide accurate, current, and complete registration information.
5.2. You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account.
5.3. You must notify MNH immediately at support@mnh.expert if you become aware of any unauthorised access to or use of your account.
5.4. MNH reserves the right to suspend or terminate accounts that contain inaccurate information or that are used in breach of these Terms.
6. Subscription and Payment
6.1. Access to the Platform is subject to the subscription tier selected by you. Details of available tiers and pricing are published on the Platform.
6.2. Subscription fees are payable in advance on a recurring basis (monthly or annually, as selected).
6.3. MNH reserves the right to modify subscription fees upon 30 days' written notice. Fee changes will take effect at the start of the next billing cycle following the notice period.
6.4. All fees are quoted in Australian dollars and are inclusive of GST unless otherwise stated.
7. Intellectual Property
7.1. Platform IP. The Platform, including its software, design, user interface, documentation, branding, and all underlying content (excluding User Content), is the intellectual property of MNH Planning Administration Pty Ltd and is protected by copyright and other intellectual property laws. All rights are reserved.
7.2. User Content. You retain ownership of all data, documents, and content that you upload to or create within the Platform ("User Content").
7.3. Licence to MNH. By uploading User Content to the Platform, you grant MNH a limited, non-exclusive, non-transferable licence to store, process, and display your User Content solely for the purpose of providing the Platform services to you. This licence terminates upon deletion of your User Content or termination of your account, subject to any data retention obligations.
7.4. AI-Generated Outputs. You own the outputs generated by the Platform's AI tools based on your inputs and data. You acknowledge that such outputs are generated with the assistance of artificial intelligence and may contain elements common to outputs generated for other Users.
7.5. You must not reproduce, modify, distribute, or create derivative works from MNH's intellectual property without prior written consent.
8. Data and Privacy
8.1. MNH collects, stores, and processes personal information in accordance with the Privacy Act 1988 (Cth) and our Privacy Policy, which is available on the Platform. You should read the Privacy Policy carefully.
8.2. You represent and warrant that you have obtained all necessary consents and authorisations to upload client data to the Platform, including in accordance with the Australian Privacy Principles.
8.3. You are responsible for ensuring that your use of the Platform complies with your AFSL holder's privacy policies and procedures.
8.4. MNH implements reasonable security measures to protect data stored on the Platform. However, no system is completely secure, and MNH cannot guarantee the absolute security of your data.
9. Acceptable Use
9.1. You agree to use the Platform only for its intended purpose and in compliance with all applicable laws.
9.2. You must not:
- (a) scrape, crawl, or use automated means to extract data from the Platform, except through authorised API access;
- (b) reverse engineer, decompile, disassemble, or otherwise attempt to derive the source code of the Platform;
- (c) access or attempt to access the Platform's APIs without authorisation or in excess of authorised rate limits;
- (d) upload any malicious software, viruses, or harmful code to the Platform;
- (e) share your account credentials with any third party;
- (f) use the Platform to provide unlicensed financial advice or financial product advice in contravention of the Corporations Act 2001 (Cth);
- (g) use the Platform for any purpose that is competitive with MNH's business without MNH's prior written consent; or
- (h) use the Platform in any manner that could damage, disable, overburden, or impair the Platform.
9.3. MNH reserves the right to investigate and take appropriate action against any User who violates these acceptable use provisions, including suspension or termination of access.
10. Data Accuracy
10.1. Fund data, tax rates, Centrelink rates, and other financial data available through the Platform are sourced from public sources including the Australian Prudential Regulation Authority (APRA), the Australian Taxation Office (ATO), the Reserve Bank of Australia (RBA), and other government and regulatory bodies.
10.2. Data is refreshed in accordance with published schedules. However, data may contain errors, omissions, or delays. MNH does not warrant the accuracy, completeness, or timeliness of any data provided through the Platform.
10.3. Users must independently verify all critical data before relying on it for any purpose, including the preparation of financial advice documents.
10.4. MNH is not responsible for any errors or inaccuracies in data sourced from third parties.
11. Data-as-a-Service (DaaS) API
11.1. Access to MNH's DaaS API is subject to these Terms and any additional API-specific documentation provided by MNH.
11.2. API access requires a separate API key issued by MNH.
11.3. Rate limits are enforced per API key. Exceeding rate limits may result in temporary suspension of API access.
11.4. You must not redistribute, resell, or sublicense data obtained through the API without MNH's prior written consent.
11.5. MNH reserves the right to modify, suspend, or discontinue the API or any part thereof, with reasonable notice.
12. Third-Party Services
12.1. The Platform integrates with third-party services including, but not limited to, email providers (Gmail, Microsoft 365), cloud infrastructure providers (Supabase, Vercel, Fly.io), and AI model providers (Anthropic).
12.2. MNH is not responsible for the availability, performance, or conduct of any third-party service.
12.3. Your use of third-party services may be subject to the terms and conditions of those services. You are responsible for reviewing and complying with such terms.
13. Service Levels
13.1. MNH will use best efforts to maintain the availability of the Platform. However, MNH does not guarantee any specific level of uptime or availability.
13.2. MNH may perform scheduled maintenance from time to time. Where practicable, MNH will provide reasonable advance notice of scheduled maintenance.
13.3. MNH is not liable for any outages, downtime, or service interruptions caused by:
- (a) scheduled or emergency maintenance;
- (b) failures of third-party infrastructure providers, including Supabase, Vercel, and Fly.io;
- (c) circumstances beyond MNH's reasonable control, including natural disasters, internet outages, or government actions; or
- (d) the acts or omissions of Users.
14. Limitation of Liability
14.1. This clause applies to the fullest extent permitted by law, including under the Competition and Consumer Act 2010 (Cth), Schedule 2 (Australian Consumer Law).
14.2. Where the Australian Consumer Law implies guarantees that cannot be excluded, MNH's liability for breach of any such guarantee is limited, at MNH's election, to:
- (a) the re-supply of the services; or
- (b) the payment of the cost of having the services re-supplied.
14.3. To the maximum extent permitted by law, MNH excludes all liability for:
- (a) any indirect, incidental, special, consequential, or punitive damages;
- (b) any loss of profit, revenue, data, business opportunity, or goodwill;
- (c) the accuracy, completeness, or reliability of AI-generated outputs;
- (d) the accuracy, completeness, or timeliness of fund data, research data, or any other data provided through the Platform;
- (e) any decisions made or actions taken by Users based on information, data, or outputs obtained from the Platform;
- (f) any failure or interruption of third-party services integrated with the Platform; and
- (g) any unauthorised access to or alteration of User data, except to the extent caused by MNH's gross negligence or wilful misconduct.
14.4. Nothing in these Terms excludes or limits MNH's liability for fraud, gross negligence, or wilful misconduct, or to the extent that such exclusion or limitation is prohibited by law.
15. Indemnification
15.1. You agree to indemnify, defend, and hold harmless MNH, its directors, officers, employees, and agents from and against any claims, liabilities, damages, losses, costs, and expenses (including reasonable legal fees) arising from or in connection with:
- (a) your use of the Platform;
- (b) your breach of these Terms;
- (c) your violation of any applicable law or regulation;
- (d) any financial advice or financial product advice provided by you using outputs from the Platform; or
- (e) any claim by a third party arising from your use of the Platform or the content you have uploaded.
16. Termination
16.1. Either party may terminate these Terms by providing 30 days' written notice to the other party.
16.2. MNH may immediately suspend or terminate your access to the Platform if:
- (a) you breach any material provision of these Terms;
- (b) you engage in conduct that MNH reasonably considers to be harmful to the Platform, its Users, or MNH's reputation; or
- (c) MNH is required to do so by law or regulatory direction.
16.3. Upon termination:
- (a) your right to access and use the Platform ceases immediately;
- (b) you will have a period of 30 days from the date of termination to export your data from the Platform; and
- (c) after the 30-day data export period, MNH may delete your data in accordance with the Privacy Policy.
16.4. You may request deletion of your data at any time by contacting support@mnh.expert, subject to any legal or regulatory data retention obligations.
16.5. Clauses that by their nature should survive termination will survive, including but not limited to clauses relating to intellectual property, limitation of liability, indemnification, and governing law.
17. Dispute Resolution
17.1. In the event of any dispute arising out of or in connection with these Terms, the parties agree to first attempt to resolve the dispute through good faith negotiation.
17.2. If the dispute is not resolved within 30 days of written notice of the dispute, either party may refer the dispute to mediation administered by the Resolution Institute (or its successor body).
17.3. If mediation does not resolve the dispute within 60 days of referral, either party may commence legal proceedings.
18. Governing Law
18.1. These Terms are governed by and construed in accordance with the laws of the State of Queensland, Australia.
18.2. The parties submit to the exclusive jurisdiction of the courts of Queensland and any courts that may hear appeals therefrom.
19. General Provisions
19.1. Entire Agreement. These Terms, together with the Privacy Policy and any applicable API documentation, constitute the entire agreement between you and MNH in relation to your use of the Platform.
19.2. Severability. If any provision of these Terms is found to be invalid, illegal, or unenforceable, the remaining provisions will continue in full force and effect.
19.3. Waiver. A failure by MNH to enforce any right or provision of these Terms does not constitute a waiver of that right or provision.
19.4. Assignment. You must not assign or transfer your rights or obligations under these Terms without MNH's prior written consent. MNH may assign its rights and obligations without your consent.
19.5. Force Majeure. MNH is not liable for any failure to perform its obligations where such failure results from circumstances beyond MNH's reasonable control.
19.6. Notices. Notices to MNH should be sent to support@mnh.expert. Notices to Users will be sent to the email address associated with their account.
